Terms of Service — AnswerSpec

These Terms of Service ("Terms") govern your access to and use of the AnswerSpec website, software, APIs, and services (collectively, the "Service"), provided by AnswerSpec ("we", "us", "AnswerSpec"). By using the Service, you agree to these Terms.

1. Eligibility

You may use the Service only if you can form a binding contract under applicable law and are not barred from using the Service under any U.S. or other applicable jurisdiction's law. You represent that you are at least 18 years old and have authority to bind any entity on whose behalf you accept these Terms.

2. Account

You are responsible for safeguarding your credentials and all activity under your account. You will notify us promptly of any unauthorized access via the contact form.

3. The Service

AnswerSpec provides an AI-powered front-desk and call-handling service for specialty practices. The Service may interact with patients, callers, and your existing tools (calendar, practice management, telephony). You configure the Service's knowledge base, scripts, and escalation rules.

4. Healthcare data and BAA

If you are a HIPAA Covered Entity or Business Associate and Protected Health Information (PHI) will be processed through the Service, you must execute a Business Associate Agreement (BAA) with us before activating production calls. The BAA controls in any conflict between it and these Terms with respect to PHI.

5. No medical advice

The Service does not provide medical advice. The AI agent is configured to triage urgent symptoms to your designated emergency line and to defer all clinical questions to your providers. You retain sole responsibility for clinical decisions, prescription refills, treatment plans, and patient outcomes.

6. Acceptable use

You will not use the Service to:

Violate any law or third-party right.
Send unsolicited communications or robocalls in violation of TCPA, CAN-SPAM, or equivalent laws.
Misrepresent the AI agent as a licensed medical professional.
Use the Service to deceive patients about whether they are speaking with a human or an AI.
Interfere with the integrity or performance of the Service.
Reverse-engineer, decompile, or attempt to derive source code, except as permitted by law.

7. Fees

Subscription fees are billed monthly in advance via Stripe at the price posted on answerspec.com or in your order form. The 14-day free pilot has no credit card requirement; conversion to paid is opt-in. You may cancel at any time; no pro-rated refunds for partial months unless required by law.

8. Pilot program

During the 14-day pilot, the Service is provided as-is for evaluation. We may rate-limit non-converting accounts. You retain ownership of your knowledge base and prompt configuration whether or not you convert to paid.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses to protect its own confidential information of like importance, and not less than reasonable care.

10. Intellectual property

We retain all rights, title, and interest in and to the Service, including all software, models, prompts we author, brand assets, and documentation. You retain all rights, title, and interest in and to your knowledge base, your customer/patient data, and any content you upload. You grant us a limited, non-exclusive license to use your knowledge base solely to operate the Service for you.

11. AI training restriction

We do not use call audio, call transcripts, or your knowledge base to train, fine-tune, or otherwise improve general-purpose AI models. Aggregated, de-identified usage analytics may be used to improve the Service.

12. Service levels

We target 99.5% monthly uptime for the Service, excluding scheduled maintenance and force majeure. SLA credits, if any, are described in your order form.

13. Termination

Either party may terminate these Terms for material breach not cured within 30 days of written notice. Upon termination, your access ceases and we will delete your data within 30 days, subject to legal retention obligations and the BAA if applicable.

14. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

16. Indemnification

You will indemnify and hold us harmless from any third-party claims arising from your use of the Service in violation of these Terms or applicable law, including any claim that your knowledge base or how you configure the Service violates any law or third-party right.

17. Governing law and venue

These Terms are governed by the laws of the United States and the state of incorporation of the AnswerSpec operating entity. The operating entity name and address will be disclosed in any signed order form, MSA, or BAA.

18. Changes

We may modify these Terms by posting an updated version on this page. Material changes take effect 30 days after posting. Continued use after the effective date constitutes acceptance.
